Job Description
As an Assistant General Counsel at ReSource Pro, you will be an integral part of the legal team, handling various corporate transactions, including acquisitions, divestitures, private equity deals, and strategic investments. You will also contribute to contract negotiations and corporate governance matters.
This remote role allows candidates within the U.S. to collaborate with ReSource Pro’s global team, supporting the company’s corporate legal operations while ensuring compliance with corporate policies and relevant regulations.
Responsibilities of Assistant General Counsel
- Corporate Transactions: Assist in advising and representing the company on legal matters related to mergers, acquisitions, and divestitures of companies and assets.
- Contract Management: Manage the full lifecycle of commercial contracts with suppliers, partners, and customers. Draft, negotiate, and distribute contracts while ensuring alignment with corporate interests.
- Agreement Development: Work closely with the Associate General Counsel to develop new and non-standard service agreements, including managing multiple agreement iterations.
- Risk Mitigation: Identify and assess legal risks associated with projects and assignments, providing recommendations on mitigation strategies.
- Legal Research: Conduct legal research as directed by senior counsel, keeping abreast of relevant laws and regulations.
- Client Interaction: Review contract documents and communicate with ReSource Pro clients, advising on contract revisions and ensuring legal integrity.
- Collaboration: Work closely with business development teams to develop contracts that meet client needs while protecting the company’s interests.
Requirements
Qualifications:
- JD from an accredited law school and membership in good standing with a U.S. state bar.
- In-depth knowledge of corporate law and procedures, with the ability to draft service-related contracts.
- Expertise in legal and regulatory knowledge to guide the decision-making process.
Experience:
- 4-6 years of experience in law (corporate or law firm), with exposure to corporate transactions and commercial contracts.
Skills:
- Corporate Law Expertise: Comprehensive knowledge of corporate transactions, mergers, acquisitions, divestitures, and private equity-sponsored deals.
- Contract Management: Proven ability to draft, review, and negotiate complex commercial contracts, including non-standard agreements with suppliers, partners, and clients.
- Risk Assessment & Mitigation: Strong capability in identifying legal risks, providing mitigation strategies, and escalating critical issues to senior counsel when necessary.
- Legal Research: Skilled in conducting thorough legal research and staying updated with relevant laws and regulations to guide business decisions.
- Collaboration & Communication: Excellent interpersonal and communication skills for working closely with senior management, business development teams, and external clients to resolve legal issues.
- Organizational Skills: Ability to manage multiple projects and priorities in a fast-paced environment, ensuring accuracy and efficiency in legal processes.
- Regulatory Knowledge: Apply deep understanding of regulations and laws to provide insights into the decision-making process, ensuring compliance and reducing legal risks.
